(e)        On November 10, 2009, the Compensation Committee of the Board of Directors of Heska Corporation approved the terms of its 2010 management incentive plan for it executive officers and director level employees.  The plan establishes the eligible percentages of base pay for each of the participants, the percentage allocation between company and individual performance, and the key parameters and payout structure terms under the 2010 plan.  The specific terms adopted for the 2010 plan are filed herewith as exhibit 99.1 and incorporated herein by reference.
