Item 8.01 Other Events
July 22, 2016 has been fixed as the record date for the determination of stockholders entitled to notice of and to vote at the a special meeting of stockholders of TiVo Inc. (the “Company”, “TiVo”, “we”, “us” or “our”) that will be held for the purpose of considering and voting on, among other matters, a proposal to adopt the Agreement and Plan of Merger, dated as of April 28, 2016, as it may be amended from time to time, (the “Merger Agreement”), by and among Rovi Corporation, a Delaware corporation (“Rovi”), TiVo, Titan Technologies Corporation, a Delaware corporation and wholly owned subsidiary of Rovi (“Parent”), Nova Acquisition Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent, and Titan Acquisition Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent, pursuant to which Rovi will acquire TiVo in a cash and stock transaction.
The Company has filed preliminary proxy materials with the Securities and Exchange Commission (the “SEC”) pursuant to which it is seeking stockholder approval of the Merger Agreement.
