Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 10, 2007, Karen Neuburger notified the Board of Directors of Guess?, Inc. (the “Company”) of her decision not to stand for re-election to the Board of Directors at the Company’s 2007 Annual Meeting of Shareholders.  Ms. Neuburger will continue to serve the remainder of her term as a director of the Company until the 2007 Annual Meeting of Shareholders, which is expected to be held in June 2007.
