Item 8.01. Other Events.

 

On June 29, 2012, the North Carolina Utilities Commission approved the merger between Duke Energy Corporation and Progress Energy, Inc. Also on June 29, 2012, the Public Service Commission of South Carolina (the “PSCSC”) issued a notice that a meeting would be held on July 2, 2012 at 11:30 a.m. to consider the Joint Dispatch Agreement. The effective time of the merger will depend on the outcome of the PSCSC meeting.
