Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On May 29, 2018, Kimberly McGarry, 44, joined Morningstar, Inc. (Morningstar) as global controller and chief accounting officer. Kimberly will serve as principal accounting officer of Morningstar and report to Jason Dubinsky, Morningstar’s chief financial officer.

 

Kimberly served as senior vice president and chief financial officer of the Options Clearing Corporation, the world’s largest equity derivatives clearing organization, from November 2014 to December 2016. From March 2010 to November 2014, she served as senior vice president and chief accounting officer of First Midwest Bancorp, Inc., a bank holding company. Kimberly will receive an annual base salary commensurate with her duties and is eligible to receive an annual bonus and annual grant of restricted stock units.
