Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) Departure of Officer
Kevin Smith, the Senior Vice President of Sales at Lannett Company, Inc. (the Company), will terminate his employment with the Company effective June 30, 2018. The termination of Mr. Smiths employment will be deemed to be a termination by Mr. Smith for Good Reason, as such term is defined in the Amended and Restated Employment Agreement between the Company and Mr. Smith dated as of December 31, 2012, a copy of which was filed as Exhibit 10.22 to the Companys Current Report on Form 8-K filed with the United States Securities and Exchange Commission on January 3, 2013.
(e) Compensatory Arrangement
The Company entered into a Separation Agreement and General Release with Mr. Smith dated June 20, 2018 and effective as of June 30, 2018 (the Separation Agreement), pursuant to which Mr. Smith will receive 21 months base salary, a cash bonus for the current fiscal year of the Company in the amount of $444,000, continued medical benefits for a period of 18 months and vesting of all outstanding and unvested equity award grants, and pursuant to which he has granted the Company expanded restrictive covenants.
