ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On April 27, 2006, Mid Penn Bancorp, Inc. ("Corporation") issued a press release
discussing its financial results for the first quarter of 2006. Attached hereto
as Exhibit 99.1 is a copy of the Corporation's press release dated April 27,
2006.
