Item 4. Changes in Registrants Certifying Accountant.
Effective March 29, 2004, the Audit Committee of the Board of Directors of PECO II, Inc. (the Company), approved the dismissal of Grant Thornton LLP (Grant Thornton) as the Companys independent auditors.
Grant Thorntons reports on PECO IIs consolidated financial statements for each of the years ended December 31, 2003 and 2002 contained no adverse opinion or disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope or accounting principles.
During the years ended December 31, 2003 and 2002 and through the date of this Form 8-K, there were no disagreements with Grant Thornton on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure which, if not resolved to Grant Thorntons satisfaction, would have caused them to make reference to the subject matter in connection with their report on the Companys consolidated financial statements for such years; and there were no reportable events as defined in Item 304(a)(1)(v) of Regulation S-K.
The Company provided Grant Thornton with a copy of the foregoing disclosures. Attached, as Exhibit 16.1 is a copy of Grant Thorntons letter, dated March 30, 2004, stating that it found no basis for disagreement with such statements.
The Audit Committee has not yet appointed an independent auditor to replace Grant Thornton for our fiscal year ending December 31, 2004.
