BLOCKBUSTER ANNOUNCES SPECIAL
CASH DIVIDEND, SALE OF SENIOR SUBORDINATED NOTES AND CLOSING OF
NEW CREDIT FACILITY
DALLAS Aug. 20, 2004 The Board of Directors of Blockbuster Inc. (NYSE: BBI) has declared a special cash dividend of $5 per share of common stock, payable Sept. 3, 2004, to stockholders of record at the close of business on Aug. 27, 2004. The Company expects its Class A Common Stock to trade ex-dividend on Aug. 25, 2004.
The special dividend will be financed from the net proceeds of Blockbusters recently announced offering of $300 million of 9% senior subordinated notes due 2012 and the borrowing of $650 million in term loans under Blockbusters new $1.15 billion bank credit facility, both of which closed today.
The senior subordinated notes were sold to qualified investors for resale in accordance with Securities and Exchange Commission Rule 144A and Regulation S, are general unsecured obligations of Blockbuster and are subordinated to all of Blockbusters existing and future senior debt.
This release shall not constitute an offer to sell or the solicitation of any offer to buy the notes described herein. The notes to be offered have not been registered under the Securities Act of 1933 or the securities laws of any other place and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
