Item 8.01. Other Events.

 

On December 6, 2005, General Electric Company (“GE”) entered into an Underwriting Agreement with J.P. Morgan Securities Inc., for the issuance and sale by GE of $1,500,000,000 aggregate principal amount of LIBOR Floating Rate Notes due 2008 (the “Notes”). The Notes were registered under the Securities Act of 1933, as amended, pursuant to a shelf registration statement (Registration Statement No. 333-130117).
