ITEM 7.01 REGULATION FD DISCLOSURE

As previously disclosed, the Company received a letter dated July 17, 2006, from the Securities and Exchange Commission (“SEC”) stating that the SEC is conducting an informal inquiry into various accounting matters related to the Company, including whether grants of stock options may have been backdated. The Company received a letter dated June 26, 2007, from the SEC advising us that it had completed such inquiry and does not intend to recommend any enforcement action.
