Item 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On November 28, 2007, Patterson Companies, Inc. entered into an amendment and restatement to an existing Credit Agreement, dated as of November 25, 2003. This Amended and Restated Credit Agreement (the “Amended Credit Agreement”), dated as of November 28, 2007, is among Patterson Companies, Inc., certain subsidiary borrowers, various lenders, JPMorgan Chase Bank, National Association (Successor by merger to Bank One, NA (Main Office Chicago)), as Administrative Agent, Bank of America, N.A., as Syndication Agent, and SunTrust Bank, the Northern Trust Company, and U.S. Bank National Association, as Documentation Agents.

Prior to the amendment, the credit agreement provided for a $200 million revolving credit facility through November 2008. The Amended Credit Agreement provides for a $300 million revolving credit facility through November 2012.

The foregoing description of the Amended Credit Agreement does not purport to be complete and is qualified in its entirety by reference to the Amended Credit Agreement, which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
