Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

(d) On December 8, 2008, the Board of Directors of Patterson Companies, Inc. (the “Company”) elected Les C. Vinney as a member of the Board of the Company. Mr. Vinney will join the Board effective immediately and will serve on the compensation and governance committees. At the Annual Meeting in 2009, Mr. Vinney will be a nominee for election as Director for a term expiring at the Annual Meeting in 2011. A copy of a press release issued by the Company on December 9, 2008, announcing the election of Mr. Vinney is furnished as Exhibit 99 to this Current Report on Form 8-K and is incorporated by reference herein.
