This Amendment No. 2 (this Amendment) amends and supplements the Tender Offer Statement on Schedule TO of Evelyn Acquisition Company, a Delaware corporation (Purchaser) and a wholly-owned subsidiary of Bayer HealthCare LLC, a Delaware limited liability company (Parent), and an indirect wholly-owned subsidiary of Bayer Aktiengesellschaft (Bayer AG), Parent and Bayer AG filed with the Securities and Exchange Commission on May 7, 2013 (as amended and supplemented from time to time, the Schedule TO), relating to the offer by Purchaser to purchase all of the outstanding shares of common stock, par value $0.003 per share (the Shares), of Conceptus, Inc., a Delaware corporation (Conceptus), at a price of $31.00 per Share, payable net to the seller in cash, without interest, subject to any withholding of taxes required by applicable law, upon the terms and subject to the conditions set forth in the Offer to Purchase, dated May 7, 2013 (as amended and supplemented from time to time, the Offer to Purchase) and in the related Letter of Transmittal, copies of which are annexed to and filed with the Schedule TO as Exhibits (a)(1)(A) and (a)(1)(B), respectively.
The items of the Schedule TO set forth below, and the information set forth in the Offer to Purchase, to the extent incorporated by reference therein, are hereby amended and supplemented as set forth below. Capitalized terms used and not otherwise defined in this Amendment shall have the meanings ascribed to such terms in the Offer to Purchase.
ITEM 11. | ADDITIONAL INFORMATION. |
The Offer to Purchase and Item 11 of the Schedule TO, to the extent that such Item incorporates by reference the information contained in the Offer to Purchase, are hereby amended and supplemented by deleting the first paragraph of the section entitled Stockholder Litigation in Section 15Certain Legal Matters of the Offer to Purchase and replacing it with the following:
Three purported shareholders of Conceptus have filed putative shareholder class action lawsuits in the Superior Court of the State of California (Santa Clara County), captioned as follows: (i) Carson Strauss, individually and on behalf of all others similarly situated, Plaintiff, v. Conceptus, Inc., Kathryn A. Tunstall, D. Keith Grossman, John L. Bishop, Thomas F. Bonadio, Paul A. Laviolette, Robert V. Toni, Peter L. Wilson, Bayer HealthCare LLC, and Evelyn Acquisition Company, Defendants, Case No. 113CV245627 (Cal. Super. Ct.); (ii) Evan Krantz, individually and on behalf of all others similarly situated, Plaintiff, vs. Kathryn A. Tunstall, D. Keith Grossman, John L. Bishop, Thomas F. Bonadio, Paul A. Laviolette, Robert V. Toni, Peter L. Wilson, Conceptus, Inc., Bayer HealthCare LLC, and Evelyn Acquisition Company, Defendants, Case No. 113CV246520 (Cal. Super. Ct.); and (iii) James Boyed, on behalf of himself and all others similarly situated, Plaintiff, v. Conceptus, Inc., Kathryn A. Tunstall, D. Keith Grossman, John L. Bishop, Thomas F. Bonadio, Paul A. Laviolette, Robert V. Toni, Peter L. Wilson, Bayer HealthCare LLC, and Evelyn Acquisition Company, Defendants, Case No. 113CV246645 (Cal. Super. Ct.). All three actions are brought against Conceptus, its directors, Parent and Purchaser. Each complaint alleges that the directors of Conceptus breached their fiduciary duties by entering into the Merger Agreement at an unfair price and through a flawed process, and that Conceptus, Parent and Purchaser aided and abetted those breaches of fiduciary duty. The Krantz and Boyed complaints also allege that the Schedule 14D-9 contains material omissions. Each complaint seeks a declaration that the applicable case is maintainable as a class action, an injunction against the Offer and the Merger or rescission in the event the Offer or Merger are consummated, unspecified damages, and an award of attorneys and experts fees and costs and other relief. Although in light of the risks inherent in any legal proceeding, there can be no assurance that Parent and Purchaser will not incur material liability or expense in connection with these suits, or that Parent and Purchaser will be successful in achieving a favorable outcome in a timely manner with respect to these suits, Parent and Purchaser believe these suits are entirely without merit and intend to defend vigorously against these claims.
