Item 1.01. Entry into a Material Definitive Agreement.
On May 30, 2014, LeMaitre Vascular, Inc. (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Canaccord Genuity Inc. and Stifel, Nicolaus & Company, Incorporated as representatives (the Representatives) of the several underwriters party thereto (collectively, the Underwriters), relating to the public offering (the Offering) of 1,430,000 shares of the Companys common stock, $0.01 par value per share (the Firm Shares), at a price to the public of $7.00 per share (the Offering Price), less underwriting discounts. Under the terms of the Underwriting Agreement, the Company has also granted the Underwriters a 30-day option to purchase up to an additional 214,500 shares of Common Stock (the Option Shares and, together with the Firm Shares, the Shares) to cover over-allotments, if any, at the Offering Price. The net proceeds to the Company from the sale of the Shares, after deducting the underwriting discounts and other estimated offering expenses payable by the Company, are expected to be approximately $9.1 million assuming no exercise by the Underwriters of their over-allotment option for the Option Shares, or $10.5 million if the Underwriters exercise their over-allotment option for the Option Shares in full. The Offering is expected to close on June 4, 2014, subject to the satisfaction of customary closing conditions.
This Offering is being made pursuant to the Companys effective registration statement on Form S-3 (File No. 333-195658) filed with the Securities and Exchange Commission on May 2, 2014, and declared effective on May 14, 2014, and the related prospectus supplement.
The Underwriting Agreement contains customary representations, warranties and agreements by the Company, customary conditions to closing, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act of 1933, as amended, other obligations of the parties and termination provisions.
