(b) Mark E. Cook, Vice President Finance and Controller of Red Hat, Inc. (the “Company”), notified the Company on July 30, 2015 of his decision to resign as an employee and principal accounting officer of the Company, effective August 31, 2015. Mr. Cook is leaving Red Hat to accept a job at another company. Frank Calderoni, Executive Vice President, Operations and Chief Financial Officer of the Company, will assume the duties of the Company’s principal accounting officer until a successor is appointed.
