On December 6, 2016, Ameren Illinois Company (Ameren Illinois), a subsidiary of Ameren Corporation, issued and sold $240 million principal amount of its 4.15% Senior Secured Notes due 2046 (the Notes). These Notes are a further issuance of the 4.15% Senior Secured Notes due 2046 previously issued on December 14, 2015 in the principal amount of $250 million. The Notes were issued pursuant to a Registration Statement on Form S-3 (File No. 333-205139-02), which became effective on June 22, 2015, and a Prospectus Supplement dated November 29, 2016 to a Prospectus dated June 22, 2015. Ameren Illinois received net offering proceeds of $244.5 million, before expenses, upon closing of the transaction. Ameren Illinois intends to use the net offering proceeds to repay outstanding short-term debt.
This Current Report on Form 8-K is being filed to report as exhibits certain documents in connection with the offering of the Notes.
