Other Events.

On September 7, 2018, AV Homes, Inc. (“AV Homes”) disseminated a Notice to Holders and Trustee of Anticipated Non-Stock Change of Control (the “Notice”) to holders of its 6.00% Senior Convertible Notes due 2020, as required under the Indenture, dated February 4, 2011, between AV Homes and Wilmington Trust, National Association, as supplemented by that certain Third Supplemental Indenture, dated as of June 23, 2015.

A copy of the Notice is attached hereto as Exhibit 99.1 and incorporated by reference herein.
