The shares have been acquired through market transactions in the ordinary course for investment purposes.  The reporting person may acquire additional shares in the open market, in private transactions or otherwise depending on various factors, including general market and industry conditions, and the issuer’s financial condition and results of operation.  The reporting person will continue to review his holdings and the factors set forth above and may consider certain types of transactions set forth in paragraphs (a) through (j) of Item 4 of Schedule 13D.  No such transactions are currently contemplated.

Contracts, Arrangements, Understandings or Relationships with Respect to Securities of the Issuer

Mr. Singer has sole voting and dispositive control over 8,600 shares held in an UGMA account for the benefit of Sydney Ann Singer and over 8,190  shares held in an UGMA account for the benefit of Jordan Singer.  These shares are included in this report of shares held by Mr. Singer.  Mr. Singer disclaims beneficial ownership over the 16,790 shares held in these UGMA accounts.
