(1)	The reporting person may be deemed to be a member of a Section 13(d) group that owns more than 10% of the issuer's outstanding common stock. The shares (other than shares held by Mr. Tang as custodian for a minor child) may be deemed to be beneficially owned by Tang Capital Partners, LP, Tang Capital Management, LLC (the general partner of Tang Capital Partners, LP) and Kevin C. Tang, the sole manager of Tang Capital Management, LLC. Each of Tang Capital Management, LLC and Mr. Tang disclaims beneficial ownership of the shares except to the extent of its/his pecuniary interst therein. The reporting persons disclaim beneficial ownership of the securities held by Kevin C.
