Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On December 16, 2008, MoneyGram International, Inc. (the "Company") was notified by the New York Stock Exchange ("NYSE") that it was not in compliance with the NYSE’s continued listing standard requiring that stocks trade at a minimum average closing price of $1.00 per share over a consecutive 30-day trading period.

Under NYSE rules, the Company has a period of six months from the date of notification to bring the average share price back above $1.00. During this period, the Company’s common stock will continue to be listed on the NYSE subject to the Company’s compliance with other NYSE continued listing standards. As required by the NYSE, in order to maintain the listing, the Company will notify the NYSE by December 31, 2008 that it intends to cure the price deficiency.
