SECTION 8 — OTHER EVENTS

Item 8.01 Other Events.

On February 27, 2009, Citizens, Inc. (“Citizens”) issued a news release (the “Release”) reporting, among other things, that it completed its acquisition of Integrity Capital Corporation (“Integrity Capital”) in exchange for shares of Citizens, Inc. Class A Common stock. Integrity Capital is the parent of Integrity Capital Insurance Company, an Indiana life insurance company. The transaction is valued at approximately $9.7 million.

Citizens also announced it will release its fourth quarter 2008 earnings on Thursday, March 12, 2009 and will hold a conference call to discuss its financial results at 10:00 a.m. Central Standard Time on Friday March 13, 2009. A copy of the Release is included as Exhibit 99.8 to this Current Report on Form 8-K and incorporated herein by reference. Citizens intends to file its Form 10-K dated December 31, 2008 by Monday, March 16, 2009 with the U.S. Securities and Exchange Commission, contingent upon the completion of the 2008 audit by Ernst & Young, LLP.
