Item 8.01     Other Events

 

On August 8, 2014 Energy Recovery Inc. (the "Company") entered into a confidential settlement agreement (the “Agreement”) in the matter entitled “Roy Radakovich, as representative on behalf of former shareholders of Pump Engineering, LLC v. Energy Recovery, Inc.,” in the U.S. District Court for the Eastern District of Michigan (Southern Division) Case No. 2:11-cv-13443-DPH-MAR. Under the Agreement, the Company will receive $2.125 million from the established escrow account, and plaintiffs will receive $1.375 million from said escrow account with neither party admitting to any liability or responsibility.
