ITEM 8.01 OTHER EVENTS.
On November 3, 2010, the Company's $7.75 million loan from the
Pennsylvania Infrastructure Authority (PENNVEST) for construction of our
Kreider Dairy Farms Phase 1 waste management system project ('Loan')
settled/closed. The Company anticipates that first draws/reimbursements from
PENNVEST pursuant to the Loan will take place during the next 30 days.
