Item 5.03Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On February 28, 2017, the Board of Directors of Staffing 360 Solutions, Inc. (the “Company”) approved a change in the Company’s fiscal year end from a calendar year ending on May 31 to a 52-53 week year ending on the Saturday nearest to December 31, effective for the current fiscal year. The Company will file a transition report on Form 10-KT to cover the transition period of June 1, 2016 to December 31, 2016. The change to the Company’s fiscal year will not impact the Company’s fiscal year results for the fiscal year ended May 31, 2016. The Company believes this change will provide numerous benefits, including aligning its reporting periods to be more consistent with its peers and subsidiaries in the staffing industry.
