ITEM 2.02RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On January 28, 2019, Mid Penn Bancorp, Inc. (the “Corporation”) issued a press release discussing its financial results for the fourth quarter and year ended December 31, 2018.  A copy of the Corporation’s press release dated January 28, 2019 is furnished herewith as Exhibit 99.1, and is incorporated herein by reference.

ITEM 8.01OTHER EVENTS

 

On January 23, 2019, the Board of Directors of the Corporation declared a quarterly cash dividend of $0.15 per common share, as well as a special cash dividend of $0.10 per common share. Both dividends are payable on February 25, 2019 to shareholders of record as of February 6, 2019.
