Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On February 28, 2019, Diodes Incorporated (the “Company”) entered into a Transition Agreement (the “Agreement”) with Richard White, the Company’s Chief Financial Officer and Corporate Secretary.  Pursuant to the Agreement, effective at the close of business on February 28, 2019, Mr. While will no longer serve as Chief Financial Officer of the Company, but will continue to serve on a part-time basis as the Company’s Corporate Secretary and Special Assistant to the Chief Executive Officer.  The initial term of the Agreement is for a period of one year, with automatic one-year renewals. Mr. White will no longer serve as an executive officer of the Company. Mr. White will continue to serve in officer and director positions of Company subsidiaries or affiliated companies which he presently occupies, but agrees he shall voluntarily and promptly resign from any or all of them at any time upon the Company's request. A copy of the Transition Agreement is filed as Exhibit 10.1 to this report and incorporated herein by reference.
