Item 5.02     Departure of Directors or Certain Officers.
 
In a filing on March 10, 2017, Koss Corporation (“Koss”) reported that David D. Smith, the Executive Vice President, Chief Financial Officer, and Secretary of Koss, informed the Company that he planned to retire effective at the end of this fiscal year dated June 30, 2017. Mr. Smith had originally planned to stay through June 30, 2017, to support and assist with the transition of his responsibilities to his successor. Mr. Smith has served as the Company’s Executive Vice President and Chief Financial Officer since January 2010.

The Company has worked out an arrangement with Mr. Smith for Mr. Smith to remain with the Company and continue as the Chief Financial Officer beyond June 30, 2017. Mr. Smith will relinquish his duties as Executive Vice President and Secretary effective June 30, 2017. Elizabeth Uecker, who serves as the Controller of Koss, will take over as Secretary of Koss effective July 1, 2017.
