Item 9. Regulation FD Disclosure.
On October 31, 2002, Northeast Bancorp, a Maine corporation (the "Company"), issued a press release announcing it's earnings for the first quarter ended September 30, 2002, declaring the payment of a dividend, and announcing plans to expand its operations into Portland, Maine.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
