Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On March 10, 2005, Lee A. Whatcott voluntarily resigned as Executive Vice President, Chief Financial Officer and Chief Operations Officer of Westcorp. On March 11, 2005, Mark K. Olson was named interim Chief Financial Officer of Westcorp. A copy of Westcorp and WFS Financial Inc’s press release announcing the resignation of Mr. Whatcott and appointment of Mr. Olson is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
