On March 9, 2018, the Compensation Committee (the “Compensation Committee”) of the Board of Directors of Guess?., Inc. (the “Company”) approved an increase in the annual rate of base salary for Sandeep Reddy, the Company’s Chief Financial Officer, from $525,000 to $650,000 effective with the Company’s fiscal year 2019. The Compensation Committee also set Mr. Reddy’s threshold, target and maximum annual incentive bonus opportunity levels at 45%, 90%, and 180%, respectively (each expressed as a percentage of Mr. Reddy’s base salary for the fiscal year), effective with the Company’s 2019 fiscal year.
