Item 1.02.     Termination of a Material Definitive Agreement

On November 4, 2008, Genco Shipping & Trading Limited (the “Company”) disclosed that it had cancelled the acquisition of six vessels originally agreed to on June 16, 2008 and that the terms of its $320 million credit facility entered into on September 4, 2008 provide that it is to be canceled as a result.  On November 12, 2008, Genco received a notice from Nordea Bank Finland Plc, New York Branch, as Administrative Agent under the credit facility, confirming such cancellation.
