The registrant has agreed to the following compensation for Martin B. Oring for his services as the Chairman of the Board, President and Chief Executive Officer of the registrant: 5,000,000 restricted shares of the registrant’s common stock effective August 15, 2009 and an annual salary of $150,000, which will be paid in addition to
fees received as a director.
