Item 8.01		Other Events.

On August 13, 2010 the U.S. Department of Education released data and analysis in connection with its Notice of Proposed Rulemaking dated July 26, 2010 on Program Integrity: Gainful Employment. The data and analysis released related to Strayer University are at odds with the Company’s internal analysis conducted in light of the guidance issued by the Department. The Company is seeking to clarify the discrepancy and attached herewith is our communication with the Department.
