OTHER EVENTS On March 25, 2002, Apartment Investment and Management Company (the "Company") completed the sale of an aggregate of 1,000,000 shares of its Class R Cumulative Preferred Stock, $.01 par value per share (the "Class R Preferred Stock"), to Cohen & Steers Quality Income Realty Fund, Inc., a Maryland corporation and Cohen & Steers Equity Income Fund, Inc., a Maryland corporation. The sale was made pursuant to a purchase agreement, dated as of March 21, 2002, a copy of which is included as Exhibit 1.1 to this Report and incorporated herein by reference. On March 21, 2002, the Company entered into a placement agency agreement with Merrill Lynch & Co., Merrill Lynch, Pierce, Fenner & Smith Incorporated, a copy of which is included as Exhibit 1.2 to this Report and incorporated herein by reference.
