                On January 30, 2002, First Interstate BancSystem, Inc. issued
                its fourth quarter 2001 performance report and shareholders'
                letter ("Shareholders' Letter") to holders of common stock of
                the Company as of January 30, 2002.

                Certain statements contained in the Shareholders' Letter
