(the Company) hereby amends its Current Report on Form 8-K filed August 10,
2005 (the Original Form 8-K) pursuant to Instruction 2 to Item 502 of Form 8-K, to provide
information that was not determined or available at the time of the filing of the Original Form
8-K. The Original Form 8-K was filed to report the increase in the size of its Board of Directors
and the appointment, effective August 5, 2005, of Michael Weiss to the Board of Directors.

Principal Officers.
(d) On December 5, 2005, Michael Weiss, whose term of office as a director of the Company commenced
on August 5, 2005, was appointed to the Audit Committee and to the Compensation and Benefits
Committee.
