According to the Complaint, the Company made false and misleading statements to the market. Ibotta failed to warn investors about the risk of losing its contract with The Kroger Co. (“Kroger”) in its registration statement. The Company’s contract with Kroger was at-will, but it failed to inform investors that it could be canceled at any time without warning. The Company provided detailed contact information on other customers, but not Kroger. By August, Ibotta did not list Kroger as a major customer in its SEC filings. Based on these facts, the Company’s public statements were false and materially misleading throughout the class period. When the market learned the truth about Ibotta, investors suffered damages.
